WAIVER, RELEASE OF LIABILITY, ASSUMPTION OF RISK, AND HOLD HARMLESS AGREEMENT

This Waiver, Release of Liability, Assumption of Risk, and Hold Harmless Agreement is entered into by the participant listed below, or by the parent or legal guardian of a minor participant, in favor of Empire MMA LLC, including its owners, officers, managers, instructors, coaches, employees, contractors, volunteers, representatives, agents, members, guests, participants, affiliates, successors, and assigns.

This Agreement applies to all participation in activities, classes, training, private lessons, open mats, seminars, events, competitions, demonstrations, facility use, equipment use, and any related activities offered, hosted, supervised, or made available by Empire MMA LLC.

2. Acknowledgment of Martial Arts and Fitness Risks

I understand and acknowledge that participation in martial arts, Brazilian Jiu-Jitsu, MMA, grappling, wrestling, striking, boxing, kickboxing, self-defense training, sparring, live rolling, takedowns, throws, submissions, chokeholds, joint locks, drilling, conditioning, strength training, cardio training, open mat, private lessons, seminars, competitions, demonstrations, and related physical activities involves inherent risks.

These risks include, but are not limited to:

• Bruises, cuts, scrapes, mat burns, and abrasions

• Muscle strains, sprains, cramps, and soreness

• Broken bones, fractures, dislocations, and ligament injuries

• Knee, shoulder, elbow, wrist, ankle, neck, back, and spine injuries

• Dental injuries, eye injuries, facial injuries, and head injuries

• Concussions, traumatic brain injuries, nerve injuries, or loss of consciousness

• Choking, restricted breathing, or injury from submissions or grappling techniques

• Exposure to blood, sweat, bodily fluids, skin infections, staph, MRSA, ringworm, viruses, bacteria, contagious illness, or other health risks

• Injury caused by equipment, mats, flooring, walls, bags, cages, training partners, instructors, guests, or other participants

• Serious bodily injury, permanent disability, paralysis, or death

I understand that these risks may arise from my own actions, the actions of other participants, the actions or instructions of instructors or staff, the condition of the premises, the use of equipment, physical contact, accidental contact, negligent contact, or the ordinary negligence of Empire MMA LLC or any released party.

I understand that martial arts, MMA, Brazilian Jiu-Jitsu, grappling, striking, sparring, conditioning, and related activities involve serious risks, including injury, illness, permanent disability, paralysis, or death.

3. Voluntary Participation and Physical Condition

I confirm that I am participating voluntarily. I understand that I am not required to participate in any activity and may stop participating at any time.

I confirm that I am physically and mentally capable of participating in the activities offered by Empire MMA LLC.

I understand that it is my responsibility to consult with a physician before participating if I have any medical condition, injury, illness, disability, limitation, or concern that could affect my ability to safely participate.

I agree that I will not participate while injured, ill, under the influence of alcohol or drugs, or otherwise unable to safely participate.

I confirm that I am participating voluntarily and that I am responsible for determining whether I am physically and medically able to participate.

4. Assumption of Risk

I knowingly, freely, and voluntarily assume all risks associated with my participation, whether known or unknown, foreseeable or unforeseeable.

I understand and agree that these risks include risks arising from the inherent nature of martial arts and fitness activities, the actions of other participants, the condition of the premises, the use of equipment, and the ordinary negligence of Empire MMA LLC or any released party.

I voluntarily assume all risks connected with participation at Empire MMA LLC.

5. Release of Liability

To the fullest extent permitted by law, I release, waive, discharge, and agree not to sue Empire MMA LLC, including its owners, officers, managers, instructors, coaches, employees, contractors, volunteers, representatives, agents, members, guests, participants, affiliates, successors, and assigns, for any and all claims, demands, injuries, damages, losses, liabilities, costs, expenses, attorney’s fees, or causes of action arising out of or related to my participation, use of the premises, use of equipment, or involvement in any activity connected with Empire MMA LLC.

This release includes, but is not limited to, claims involving personal injury, property damage, illness, infection, disability, death, and claims arising from ordinary negligence.

This Agreement does not release claims that cannot legally be waived under applicable law.

I understand that I am releasing Empire MMA LLC from claims, including claims arising from ordinary negligence, to the fullest extent permitted by law.

6. Hold Harmless and Indemnification

I agree to defend, indemnify, and hold harmless Empire MMA LLC, including its owners, officers, managers, instructors, coaches, employees, contractors, volunteers, representatives, agents, members, guests, participants, affiliates, successors, and assigns, from and against any and all claims, demands, injuries, damages, losses, liabilities, costs, expenses, attorney’s fees, or causes of action arising out of or related to:

• My participation in any activity

• My use of the premises or equipment

• My failure to follow gym rules or instructor directions

• My negligent, reckless, intentional, or unsafe conduct

• Any injury, loss, or damage I cause to another person or property

• Any claim brought by or on behalf of me, my family members, heirs, representatives, or assigns

I agree to defend, indemnify, and hold harmless Empire MMA LLC for claims arising out of my participation, conduct, or failure to follow rules or instructions.

7. Rules, Conduct, and Safety Instructions

I agree to follow all rules, policies, safety procedures, hygiene requirements, posted signs, verbal instructions, and reasonable directions given by Empire MMA LLC instructors, coaches, staff, or representatives.

I understand that I am responsible for training safely and within my ability level.

I agree to immediately release any submission when my partner taps verbally or physically, when an instructor tells me to stop, or when safety requires stopping.

I understand that unsafe behavior, aggressive behavior, failure to follow instructions, poor hygiene, harassment, threats, fighting outside approved training activities, or violation of gym rules may result in suspension or termination of participation without refund.

I understand and agree to follow all Empire MMA LLC rules, safety instructions, hygiene requirements, and coach directions.

8. Medical Treatment Authorization

In the event of injury, illness, accident, or emergency, I authorize Empire MMA LLC and its representatives to seek emergency medical treatment on my behalf if I am unable to provide consent at the time.

I understand and agree that I am responsible for all medical costs, ambulance fees, hospital bills, treatment expenses, rehabilitation costs, and related expenses resulting from my participation.

I understand that Empire MMA LLC does not provide medical insurance for participants.

I authorize Empire MMA LLC to seek emergency medical treatment if needed and understand I am responsible for all related costs.

9. Illness, Infection, and Hygiene

I agree not to participate if I have a contagious illness, fever, open wound, skin infection, rash, staph infection, MRSA, ringworm, lice, or any other condition that may pose a health risk to others.

I agree to maintain proper hygiene, wear clean training gear, keep fingernails and toenails trimmed, cover wounds properly, and follow any hygiene or safety requirements set by Empire MMA LLC.

I understand that Empire MMA LLC may deny participation if staff believes I may pose a health or safety risk to myself or others.

I agree not to train while sick, contagious, or with any open wound, rash, skin infection, staph, MRSA, ringworm, lice, or similar condition.

10. Personal Property

I understand that Empire MMA LLC is not responsible for lost, stolen, or damaged personal property, including but not limited to phones, wallets, bags, clothing, jewelry, watches, training gear, vehicles, or items left in the facility.

11. Minor Child Participation

If the participant is under 18 years old, the parent or legal guardian signing this Agreement confirms that they are legally authorized to sign on behalf of the minor participant.

The parent or legal guardian accepts all terms of this Agreement on behalf of themselves and the minor participant and agrees to release, defend, indemnify, and hold harmless Empire MMA LLC from claims arising out of or related to the minor participant’s participation.

12. Notice to Minor Child’s Natural Guardian

THIS SECTION SHOULD BE PRINTED IN UPPERCASE TYPE THAT IS AT LEAST 5 POINTS LARGER THAN THE REST OF THIS AGREEMENT AND CLEARLY DISTINGUISHABLE FROM THE REST OF THE TEXT.

NOTICE TO THE MINOR CHILD’S NATURAL GUARDIAN:

READ THIS FORM COMPLETELY AND CAREFULLY. YOU ARE AGREEING TO LET YOUR MINOR CHILD ENGAGE IN A POTENTIALLY DANGEROUS ACTIVITY. YOU ARE AGREEING THAT, EVEN IF EMPIRE MMA LLC USES REASONABLE CARE IN PROVIDING THIS ACTIVITY, THERE IS A CHANCE YOUR CHILD MAY BE SERIOUSLY INJURED OR KILLED BY PARTICIPATING IN THIS ACTIVITY BECAUSE THERE ARE CERTAIN DANGERS INHERENT IN THE ACTIVITY WHICH CANNOT BE AVOIDED OR ELIMINATED. BY SIGNING THIS FORM YOU ARE GIVING UP YOUR CHILD’S RIGHT AND YOUR RIGHT TO RECOVER FROM EMPIRE MMA LLC IN A LAWSUIT FOR ANY PERSONAL INJURY, INCLUDING DEATH, TO YOUR CHILD OR ANY PROPERTY DAMAGE THAT RESULTS FROM THE RISKS THAT ARE A NATURAL PART OF THE ACTIVITY. YOU HAVE THE RIGHT TO REFUSE TO SIGN THIS FORM, AND EMPIRE MMA LLC HAS THE RIGHT TO REFUSE TO LET YOUR CHILD PARTICIPATE IF YOU DO NOT SIGN THIS FORM.

If signing for a minor child, I confirm that I am the parent or legal guardian and have read and understand the Notice to Minor Child’s Natural Guardian.

13. Parent / Legal Guardian Release for Minor Participant

I am the parent or legal guardian of the minor participant. I understand the nature of martial arts, Brazilian Jiu-Jitsu, MMA, grappling, wrestling, striking, fitness, and related activities offered by Empire MMA LLC.

I understand that these activities involve inherent risks, including the risk of serious injury, permanent disability, paralysis, illness, infection, property damage, or death.

On behalf of myself and my minor child, I voluntarily assume all risks related to the minor child’s participation.

To the fullest extent permitted by law, I release, waive, discharge, indemnify, defend, and hold harmless Empire MMA LLC, including its owners, officers, managers, instructors, coaches, employees, contractors, volunteers, representatives, agents, members, guests, participants, affiliates, successors, and assigns, from any and all claims, demands, injuries, damages, losses, liabilities, costs, attorney’s fees, or causes of action arising out of or related to the minor child’s participation.

This includes claims involving personal injury, death, property damage, illness, infection, or inherent risks of the activity.

14. Severability

If any portion of this Agreement is found to be invalid, unlawful, or unenforceable, the remaining portions shall remain in full force and effect.

15. Governing Law

This Agreement shall be governed by the laws of the State of Florida.

16. Final Acknowledgment

I have read this Agreement carefully. I understand its terms. I understand that by signing this Agreement, I am giving up certain legal rights, including the right to sue Empire MMA LLC for injuries, damages, losses, or death arising from ordinary negligence or inherent risks of participation.

I sign this Agreement voluntarily and with full understanding of its meaning.

GYM RULES, CODE OF CONDUCT, AND HYGIENE POLICY

Empire MMA LLC is committed to providing a safe, respectful, clean, and disciplined training environment. All members, guests, parents, guardians, visitors, instructors, and participants are expected to follow these rules.

Failure to follow these rules may result in removal from class, suspension, cancellation of membership, or permanent removal from Empire MMA LLC without refund.

2. General Conduct

All members and guests must treat coaches, staff, training partners, parents, children, visitors, and other members with respect.

Harassment, bullying, threats, intimidation, discrimination, excessive profanity, abusive behavior, or disruptive conduct will not be tolerated.

Empire MMA LLC reserves the right to remove anyone whose behavior creates a safety risk, disrupts training, damages the gym environment, or negatively affects other members.

I agree to treat coaches, staff, training partners, members, guests, parents, and visitors with respect.

3. Training Safety

Members must train safely and within their ability level.

All participants must follow coach and instructor directions at all times.

Participants must stop immediately when:

• A partner taps physically
• A partner taps verbally
• A coach says to stop
• A participant appears injured or unable to continue
• Safety requires stopping

Submissions must be applied with control. Cranking submissions, slamming, uncontrolled takedowns, reckless sparring, or intentionally injuring a training partner is strictly prohibited.

I understand that I must train safely, follow instructor directions, and immediately stop when a partner taps or a coach says to stop.

4. Sparring, Rolling, and Contact Training

Live rolling, sparring, takedowns, striking drills, and other contact training may only be performed with coach approval and under gym rules.

Members are responsible for communicating injuries, limitations, experience level, and concerns to coaches and training partners before training.

Members must respect size, age, experience, skill level, and intensity differences when training with others.

Ego training, bullying lower-ranked students, targeting injured partners, or refusing to control intensity may result in removal from training.

I agree to control my intensity, respect my training partners, and communicate injuries or limitations before training.

5. Hygiene Requirements

All members must maintain proper hygiene.

Members must:

• Wear clean training gear
• Wash gis, rash guards, shorts, shirts, and training clothing after each use
• Keep fingernails and toenails trimmed
• Wear shoes or sandals when walking off the mats
• Never enter the restroom barefoot
• Cover minor cuts or scrapes properly before training
• Remove jewelry, watches, necklaces, earrings, rings, or sharp objects before training
• Use deodorant and maintain basic personal cleanliness

Members may be denied participation if hygiene standards are not met.

I agree to maintain proper hygiene, wear clean training gear, keep nails trimmed, and follow all hygiene requirements.

6. Illness and Skin Conditions

Do not train if you have or suspect you may have:

• Fever
• Flu-like symptoms
• COVID-like symptoms
• Vomiting or diarrhea
• Open wounds
• Staph infection
• MRSA
• Ringworm
• Impetigo
• Lice
• Unexplained rash
• Contagious illness or infection

Empire MMA LLC may require a doctor’s note before allowing return to training after certain illnesses, infections, or skin conditions.

I agree not to train while sick, contagious, or with any skin condition that may pose a risk to others.

7. Mat Rules

No shoes are allowed on the mats unless specifically approved by Empire MMA LLC.

No food, gum, glass containers, or drinks other than water are allowed on the mats.

Training equipment must be used properly and returned after use.

Members must help keep the training area clean and safe.

I agree to follow all mat rules and help keep the training area clean and safe.

8. Parents and Children

Parents and guardians are responsible for supervising children who are not actively participating in class.

Children may not run through the facility, climb on equipment, interrupt classes, or enter the training area unless participating in an approved class.

Parents must be respectful toward coaches, staff, other parents, and students.

Coaching from the sidelines may be limited or prohibited if it disrupts class.

If I am a parent or guardian, I agree to supervise children who are not actively participating in class and follow all parent/guardian rules.

9. Guests and Visitors

Guests and visitors must check in with Empire MMA LLC staff before participating in any class, training session, open mat, seminar, or event.

All guests must complete required waivers and paperwork before participating.

Empire MMA LLC may refuse participation to any guest or visitor at its discretion.

I understand that all guests must check in and complete required paperwork before participating.

10. Personal Property

Members and guests are responsible for their own personal property.

Empire MMA LLC is not responsible for lost, stolen, or damaged items, including phones, wallets, bags, jewelry, watches, clothing, training gear, or vehicles.

I understand that Empire MMA LLC is not responsible for lost, stolen, or damaged personal property.

11. Facility and Equipment

Members must respect the facility, mats, restrooms, equipment, furniture, and property of Empire MMA LLC.

Any member or guest who intentionally damages property may be responsible for repair or replacement costs.

I agree to respect the facility and equipment and understand I may be responsible for damage I cause.

12. Photos, Videos, and Recording

Photos and videos may be taken by Empire MMA LLC only when permitted by the member’s separate Photo and Video Release Agreement.

Members and guests may not record other participants in private, embarrassing, unsafe, or inappropriate situations.

Recording live training, sparring, or children’s classes may be limited or prohibited at the discretion of Empire MMA LLC.

I agree to follow Empire MMA LLC rules regarding photos, videos, and recording.

13. Weapons, Drugs, and Alcohol

Weapons, illegal drugs, alcohol abuse, or participation while impaired are strictly prohibited.

Any person who appears intoxicated, impaired, unsafe, or unable to participate responsibly may be removed from the facility.

I understand that weapons, illegal drugs, alcohol abuse, and participation while impaired are prohibited.

14. Respect for Coaches and Belt Rank

Members are expected to respect instructors, coaches, staff, and training partners.

Belt rank, experience, and gym culture should be respected without creating arrogance, bullying, or disrespect toward lower-ranked students.

Higher-ranked students are expected to help maintain a safe and positive training environment.

I agree to respect coaches, staff, belt rank, gym culture, and all training partners.

15. Enforcement

Empire MMA LLC may enforce these rules at its discretion.

Disciplinary action may include:

• Verbal warning
• Removal from class
• Temporary suspension
• Membership termination
• Permanent ban from the facility

Refunds are not guaranteed when discipline or removal results from rule violations, misconduct, unsafe behavior, or failure to follow gym policies.

I understand that violating gym rules may result in removal, suspension, termination, or permanent ban without refund.

16. Final Acknowledgment

I have read and understand the Empire MMA LLC Gym Rules, Code of Conduct, and Hygiene Policy. I agree to follow these rules and understand that failure to do so may result in suspension, termination, or removal from Empire MMA LLC.

This Photo and Video Release Agreement is entered into by the participant listed below, or by the parent or legal guardian of a minor participant, in favor of Empire MMA LLC.

I grant Empire MMA LLC permission to use photos, videos, recordings, images, or other media containing my image, likeness, voice, or appearance for:

• Promotional materials
• Printed materials
• Educational or instructional content
• Gym announcements
• Event promotion
• Business-related purposes

I understand that I will not receive compensation, payment, royalties, or other benefits for the use of these photos, videos, recordings, or images.

3. Minor Participant Media Permission

If the participant is under 18 years old, the parent or legal guardian signing below confirms that they are legally authorized to grant or deny media permission on behalf of the minor participant.

4. Media Release Selection

I give Empire MMA LLC permission to use photos, videos, recordings, images, likeness, voice, or appearance of me or my minor child for marketing, social media, website, promotional, instructional, and business-related purposes.

5. Limits of Privacy

I understand that Empire MMA LLC will make reasonable efforts to respect privacy and avoid inappropriate, embarrassing, unsafe, or private images or videos.

I understand that group photos, class videos, event footage, or background appearances may occur during normal gym activities.

I understand that I should notify Empire MMA LLC in writing if I have specific privacy concerns.

6. Revocation of Permission

I understand that I may revoke media permission in writing at any time.

I understand that revocation will apply going forward and may not require Empire MMA LLC to remove or delete media already published, posted, printed, distributed, or used before the written revocation was received.

7. Final Acknowledgment
